Terms of Service
Last updated: 1 July 2025 · Australia Lucky Queena Pty Ltd (ABN 93 703 526 989) · Melbourne VIC
These Terms of Service (“Terms”) govern the supply of professional business and consulting services by Australia Lucky Queena Pty Ltd (ABN 93 703 526 989) of Melbourne VIC, Australia (“we”, “us”, “our”) to you, our client (“you”). By requesting a quote, accepting a proposal, or engaging our services in any way, you agree to be bound by these Terms.
1. About these Terms
In these Terms, “Engagement” means any arrangement under which we provide services to you, and “Deliverables” means any reports, plans, analyses, recommendations, templates or other work products we produce for you. These Terms, together with any accepted proposal or statement of work, form the entire agreement between us in relation to that Engagement. Where a signed proposal contains terms that conflict with these Terms, the proposal prevails to the extent of the inconsistency.
2. Our Services
We provide professional business and consulting services, which may include business planning, strategy and advisory work, operational reviews, market and research support, and related consulting services, as further described on our Services page. The specific services we will provide to you, along with applicable fees and timeframes, will be set out in a proposal or statement of work accepted by you.
Any indicative timeframes we provide are estimates only. We will take reasonable steps to meet agreed deadlines, but we are not responsible for delays caused by events outside our reasonable control or by delays in receiving information or decisions from you.
3. Quotes, Proposals and Scope
- Unless otherwise stated, quotes are valid for 30 days from the date they are issued and are expressed in Australian dollars (AUD).
- Quotes are prepared on the basis of the information you provide to us. If that information is incomplete, inaccurate or changes materially, we may revise the quote or propose a variation.
- An Engagement commences only when you accept our proposal in writing (email being sufficient).
- If you ask for work outside the agreed scope, we will treat it as a variation and confirm the additional fees and timeframes with you in writing before proceeding.
4. Fees, Invoicing and Payment
- Fees are as set out in your accepted proposal. Amounts described as inclusive of goods and services tax (GST) are inclusive; amounts described as exclusive of GST will have GST added where applicable.
- We invoice in accordance with the payment schedule in your proposal, which may include an upfront deposit for new clients.
- Invoices are payable within 14 days of the invoice date unless your proposal states otherwise.
- If an invoice remains unpaid beyond its due date, we may pause work on your Engagement after issuing a written reminder by email, and we may recover reasonable costs of pursuing overdue amounts.
5. Your Responsibilities
To enable us to perform the Engagement, you agree to:
- provide accurate, complete and timely information, records and access as reasonably required;
- respond to requests for feedback, approvals and decisions within a reasonable time;
- ensure that any materials you supply to us do not infringe the rights of any third party; and
- comply with all laws relevant to your business and your use of our Deliverables.
Our advice, recommendations and Deliverables are prepared for your business purposes and are based on the information available at the time. They are not financial, legal, accounting or taxation advice, and you should obtain specialist licensed advice where those matters arise.
6. Intellectual Property and Confidentiality
All intellectual property rights in materials, methods and tools we bring to the Engagement remain our property. Upon full payment of the relevant fees, you receive a perpetual, royalty-free licence to use the Deliverables for your own business purposes. You retain all rights in the information and materials you provide to us.
Each party will keep confidential all non-public information obtained from the other party in connection with the Engagement, and will use it only for the purposes of the Engagement, except where disclosure is required by law or the information is publicly available through no breach of these Terms. This obligation survives completion or termination of the Engagement.
7. Consumer Guarantees under Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)). Under those guarantees, our services will be supplied with due care and skill, will be reasonably fit for the purpose you made known to us, and will be supplied within a reasonable time.
If a service fails to meet a consumer guarantee, you may be entitled to a remedy. For a major failure, you are entitled to cancel the contract and obtain a refund of the price paid for the unconsumed portion of the services, and to compensation for any other reasonably foreseeable loss or damage. For a failure that is not a major failure, we may, at our election within a reasonable time, re-supply the services or pay you the cost of having the services re-supplied.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.
8. Limitation of Liability
To the fullest extent permitted by law, and except for rights that cannot be excluded under the Australian Consumer Law, our total liability arising out of or in connection with an Engagement is limited, at our option, to re-supplying the affected services or paying the cost of having them re-supplied.
We are not liable to you for indirect, incidental or consequential loss, including loss of profits, revenue, goodwill or business opportunity, however caused, except to the extent such a limitation is prohibited by the Australian Consumer Law or any other applicable law.
9. Suspension and Termination
Either party may terminate an Engagement by giving at least 14 days’ written notice by email. Either party may terminate immediately if the other party commits a material breach of these Terms that is not remedied within 10 business days of written notice, or becomes insolvent.
On termination, you must pay for all services properly performed and expenses reasonably incurred up to the date of termination, and we will deliver to you any completed or in-progress work for which you have paid. Clauses relating to intellectual property, confidentiality, consumer guarantees, liability and governing law survive termination.
10. General Provisions
- Privacy. We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
- Governing law. These Terms are governed by the laws of the State of Victoria and the Commonwealth of Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria.
- Amendments. We may update these Terms from time to time. The current version published on this page applies to Engagements commenced after the date of publication; variations to an existing Engagement will be agreed in writing.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
- Assignment. You may not assign an Engagement without our prior written consent. We may assign an Engagement on written notice, provided this does not materially reduce the standard of service you receive.
- Independent contractor. We act as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.
